Services. I will provide the services described in the relevant order/estimate (the “Services”) – e.g. editorial, proofreading, translation, copywriting – in accordance with the agreed brief.
Acceptance and sign-off. On delivery you will have 7 days to review and notify me of any errors or issues you reasonably consider to be defects. If you do not notify me within that period, the Services shall be deemed accepted and approved.
Corrections. I will, at my cost, correct any notified defects which are demonstrably due to my error, provided notification is received within the period in clause 2. Corrections do not extend any other time limit below.
Limitation of liability. My liability in respect of any claim arising from the Services (whether in contract, tort (including negligence) or otherwise) shall be limited to the greater of: (a) the fee paid for the specific assignment that gave rise to the claim; or (b) £2,000, and in any event shall not exceed the limit of indemnity of my professional indemnity insurance. I shall not be liable for any indirect or consequential losses (including loss of profit, loss of business or business interruption).
Notification and time bar. Any claim, complaint or dispute arising out of or in connection with the Services must be notified to me in writing within 12 months of the date of delivery. If not so notified within that period, the claim shall be time-barred and waived.
Third-party instructions / contracts. If you instruct me on behalf of a third party (for example via an agency), you confirm that you are authorised to accept these terms on their behalf and that I may rely on confirmation from the instructing party. If you require higher limits or other contract terms as a condition of engagement, please notify me before I start.
Subcontracting. I may use subcontractors for parts of the work; I remain responsible to you for their work. Subcontractors must not be engaged without prior agreement if the contract expressly requires it.
Governing law and jurisdiction. These terms are governed by the law of England and Wales and the parties submit to the non-exclusive jurisdiction of the English courts.
